ZEEL appoints 3 new independent directors

Zee Entertainment Enterprises Ltd has appointed three independent directors. In a disclosure to the BSE, the company announced the appointment of Venkata Ramana Murthy Pinisetti, Shishir Babubhai Desai and Uttam Prakash Agarwal as Additional Directors for a three-year term.

“Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘LODR Regulations’), we wish to inform you that based on the recommendation of Nomination & Remuneration Committee and subject to the approval of the members of the Company, the Board of Directors of the Company have approved the appointment of Mr. Venkata Ramana Murthy Pinisetti, Mr. Shishir Babubhai Desai and Mr. Uttam Prakash Agarwal as Additional Directors in the category of Independent Directors of the Company with effect from December 17, 2023,” ZEEL said in its disclosure letter.

Murthy, a lawyer, a bestselling author and an academic practitioner in HR and organization development (OD) domains, heads the Employment and Labor Law practice at Economic Laws Practice (ELP).

With a corporate career of over three decades, he retired from the Indian Hotels Company Limited (IHCL) as its Executive Vice President and Global Head Human Resources (CHRO).

Agarwal is a Chartered Accountant with more than three decades of experience in taxation, finance and restructuring having worked extensively in areas of statutory audit, income leakage audit, concurrent audit, stock audit, of public sector banks under RBI’s appointment.

He has also carried out statutory audits of public sector undertakings & Mutual Funds being appointed by the Comptroller Auditor General of India.

Desai is a Solicitor with 44 years of experience and enrolled with the Bombay Incorporated Law Society. He was also the Solicitor of the Supreme Court of England & Wales (Non-Practicing) and; Member of the Institute of Company Secretaries of India.
